FastIMM Terms of Use
These Terms of Use (the “Terms”) govern your access, registration, use of, and any interaction with the websites, platform, membership system, online interfaces, and related services and features (collectively, the “Services”) operated by FastIMM (“we,” “us,” or “FastIMM”). By accessing, registering, clicking “Agree,” submitting information, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and any policies, rules, guidelines, fee disclosures, disclaimers, supplemental terms, and privacy documents we may publish or update from time to time (collectively, “Related Documents”), which are incorporated herein by reference.
1. Definitions and Interpretation
- “Affiliates” means any entity that directly or indirectly controls, is controlled by, or is under common control with FastIMM.
- “User” or “you” means any individual or entity accessing or using the Services, including registered members and unregistered visitors.
- “Content” means any information or materials appearing in or processed through the Services, including but not limited to text, data, documents, images, audio/video, links, forms, process prompts, checklists, assessment outputs (including automated/algorithm-generated content), and third-party information.
- “Competent Authority” means any government department, immigration authority, consulate, or authorized body with jurisdiction over immigration, visa, residence, or naturalization matters.
- Unless otherwise clearly agreed in context, terms in these Terms shall be interpreted in a manner that furthers the purpose of the Terms and ensures the operability and enforceability of the Services; headings are for reading convenience only and do not affect interpretation. In the event of discrepancy between different language versions, the version we designate or publish shall prevail.
2. Acceptance of Terms, Eligibility and User Representations
- You represent and warrant that you have the legal capacity and authority to enter into and perform these Terms, and that your use of the Services does not violate any applicable law, sanction restriction, court order, or contractual obligation binding on you.
- If you use the Services on behalf of an entity, you further represent and warrant that you are duly authorized to do so, that the entity agrees to be bound by these Terms, and that you and the entity are jointly and severally liable for obligations arising therefrom (to the extent permitted by applicable law).
- You undertake that all information and materials you provide to us or submit through the Services are true, accurate, complete, and not misleading, and that you will update such information promptly upon any change; you understand that we may reasonably rely on such information for service intake, scheduling, communications, compliance, and risk assessment.
3. Nature, Scope, and Non-Guarantee of Services
- The Services may include, but are not limited to: member account functionality, information collection and organization, general consulting and communications, eligibility assessment and pre-screening, document checklists and process prompts, progress management, transactional notifications, customer support, and necessary coordination and administrative support for service delivery.
- Unless we enter into a separate written agreement with you that clearly defines a representation/agency relationship, then: (a) the Services do not constitute legal advice, legal opinion, licensed immigration representation, or any representation made to any Competent Authority; (b) any content in the Services (including assessment outputs, checklists, templates, prompts, or suggestions) constitutes general information and process assistance only and does not constitute any express or implied guarantee of outcomes, timelines, success rates, or policy stability; (c) Competent Authorities have sole discretion over application materials, procedures, adjudication timing, and criteria, and we are not liable for the acts, decisions, or timing of any third party or Competent Authority.
- You acknowledge and understand that relevant matters are subject to uncertainty and may be affected by policy changes, procedural adjustments, changes in documentation requirements, third-party factors, or uncontrollable events; the delivery and progress of Services may also change due to compliance reviews, information verification, system maintenance, risk controls, or operational adjustments.
4. Accounts, Access Control, and Security
- You may need to create an account to access certain Services. You are responsible for your account credentials, login information, and any actions taken under your account.
- We may, based on security, compliance, risk control, technical necessity, or reasonable suspicion, require additional verification, supplementary information, or restrictive measures (including but not limited to suspending, freezing, limiting functionality, refusing to process specific requests, or terminating accounts).
- You should take reasonable measures to secure your account; in the event of, or suspected, unauthorized access, you should notify us promptly. We may take remedial action within a reasonable scope but shall not be liable for losses directly or indirectly caused by unauthorized third-party access (except to the extent required by applicable mandatory law).
5. Information Submission, Material Standards, and Cooperation Obligations
- You understand and agree that the provision of Services may depend on your timely, accurate, and complete submission of information and materials, and your response to requests from us or Competent Authorities within a reasonable timeframe.
- We may impose reasonable requirements on the format, medium, completeness, legibility, and consistency of submitted materials; if materials do not meet requirements, we may request supplementation, correction, or resubmission, and may adjust scheduling or service processes accordingly.
- If you fail to cooperate or respond within a reasonable timeframe, or if information you submit contains material inconsistencies, cannot be verified, or shows signs of risk, we may suspend, downgrade, postpone, or terminate service processing based on compliance and risk control requirements.
6. Fees, Billing, and Consideration Arrangements (If Applicable)
- Services may include both free and paid components. Where fees apply, the specific pricing, billing methods, payment milestones, scope of services, and applicable conditions shall be as described in our service pages, order/quote documents, emails, or supplemental terms, and may be updated at any time.
- You understand and agree that fees associated with the Services generally correspond to comprehensive consideration arrangements including but not limited to service intake and scheduling, resource allocation and reservation, information processing and archiving, compliance and risk management processes, communications and coordination, system operation and support, and similar activities. Except as required by mandatory law or as otherwise expressly committed by us in writing, any refunds, returns, credits, offsets, or repricing are not automatic rights, but may only be applicable when we, in our discretion based on individual case facts and within the scope permitted by law and in accordance with our applicable rules, decide to apply them, and may be subject to conditions, time limits, handling fees, currency exchange differences, or reasonable deductions for costs already incurred or arranged.
- You shall bear all channel fees, bank fees, taxes, currency conversion costs, and compliance reporting obligations related to payments. We may reasonably require you to complete necessary payment verification or source of funds documentation.
7. Compliance: Sanctions, Anti-Money Laundering, Anti-Fraud, and Due Diligence
- You acknowledge and agree that, to meet applicable legal, regulatory, industry practice, and internal risk control requirements, we may conduct compliance reviews and due diligence on you, including but not limited to identity verification (KYC), anti-money laundering (AML), anti-fraud, sanctions and restricted list screening, source of funds and transaction reasonableness verification, and risk classification management.
- You agree to provide necessary information and documents as reasonably required by us, and authorize us to conduct verification through third-party compliance service providers or databases within a reasonably necessary scope; such third parties are generally bound by contractual, confidentiality, and data processing obligations.
- If we reasonably determine or suspect the existence of high-risk or non-compliant circumstances (including but not limited to suspected fraud, sanctions risk, abnormal source of funds, false/unverifiable information, refusal to cooperate with review, etc.), we may take action without liability, including but not limited to: suspending/restricting Services, terminating processing, refusing to continue providing Services, revoking benefits or permissions, retaining necessary records, and reporting or disclosing to the extent required or permitted by law.
- You understand and agree that, to the extent permitted by applicable law, our internal basis, thresholds, models, or reporting status for compliance dispositions may not be disclosed or may only be disclosed to a limited extent.
8. Third-Party Services and External Resources
- The Services may integrate, invoke, or rely on third-party products or services (including but not limited to third-party email service providers, cloud storage, customer service systems, payment channels, analytics and security services, compliance screening services, etc.). Third-party services are governed by their own terms and policies, and we make no guarantees and assume no liability for the availability, continuity, security, or conduct of third-party services.
- The Services may include links to third-party websites or resources, provided solely for convenience and not constituting endorsement or guarantee.
9. Communications and Notices
- You agree that we may send you service-related transactional communications (including verification, notifications, reminders, document supplement requests, service change notices, etc.) through the contact information you provide.
- Unless otherwise required by applicable law or expressly stated by us, the sending and delivery of communications may depend on the availability of third-party communication services; we will make reasonable efforts to ensure delivery but do not guarantee delivery or immediate delivery.
- You shall ensure that your contact information is valid and capable of receiving messages; consequences arising from invalid contact information, rejection, filtering, or failure to check messages in a timely manner shall be borne by you.
10. User Content, Licenses, and Feedback
- You retain rights in content you submit; however, you grant us and our Affiliates a worldwide, non-exclusive, royalty-free license (with the right to sublicense within necessary scope) to use, reproduce, store, process, adapt, display, transmit, and provide to third parties (such as Competent Authorities or bound suppliers) such content to the extent necessary for providing, maintaining, and improving the Services, fulfilling compliance obligations, handling disputes, and ensuring security.
- You warrant that content you submit does not infringe any third-party rights and that you have all rights and authorizations necessary to provide such content.
- Any feedback, suggestions, or improvement ideas you provide to us may be freely used by us without any obligation or consideration to you.
11. Intellectual Property
Unless otherwise expressly provided in these Terms or Related Documents, the intellectual property rights in the Services and their related content, interfaces, marks, software, documentation, and materials belong to us or the relevant rights holders. Without our prior written permission, you may not reproduce, adapt, reverse engineer, distribute, sell, sublicense, or commercially exploit in any manner.
12. Suspension, Termination, and Consequences
- We may, at any time and based on compliance, risk control, operational adjustment, technical maintenance, or other reasonable grounds, suspend, restrict, or terminate your access to or use of all or part of the Services, with or without prior notice or with only general notice.
- You may stop using the Services at any time, but cessation of use does not affect the continued validity of payment obligations, liability limitations, indemnification obligations, dispute resolution, and other terms that arose prior to cessation.
- After termination of Services, we may retain necessary records within the scope permitted by law for compliance, audit, dispute handling, and security purposes.
13. Disclaimer of Warranties
- To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. We make no express or implied warranties regarding the continuity, error-free operation, security, accuracy, timeliness, suitability, or fitness for any particular purpose of the Services.
- We do not warrant that any content or output fully complies with Competent Authority requirements at any point in time; Competent Authority requirements and policies may change at any time.
- You understand and agree that you are solely responsible for judgments, decisions, submissions to third parties, and interactions with any third parties made based on the Services, and you bear the risks and consequences thereof.
14. Limitation of Liability
- To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of opportunity, reputational damage, data loss, failure to realize expected benefits, losses caused by approval delays or failures, etc., even if we have been advised of the possibility of such losses.
- If applicable law does not permit the exclusion or limitation of certain liabilities, such limitations apply to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify and hold harmless us and our Affiliates, employees, advisors, and partners from and against any claims, losses, liabilities, penalties, costs, or expenses (including reasonable attorney’s fees, investigation costs, and disbursements) arising from your breach of these Terms or Related Documents, violation of applicable law or sanction/compliance requirements, submission of false or infringing materials, or any third-party complaints, claims, or regulatory investigations arising from your conduct (to the extent permitted by applicable law).
16. Force Majeure and External Events
If the Services cannot be provided or are delayed due to events beyond our reasonable control (including but not limited to policy changes, Competent Authority procedural adjustments, third-party system outages, network failures, natural disasters, war, pandemics, strikes, regulatory actions, etc.), we shall not be liable for breach of contract or our liability shall be limited to the extent permitted by law, and we may adjust the manner, timing, or scope of service delivery as appropriate.
17. Governing Law and Dispute Resolution (Ireland)
- These Terms are governed by and construed in accordance with the laws of Ireland (excluding conflict of law rules).
- Any dispute arising out of or in connection with these Terms or the Services shall first be resolved through good faith negotiation; if negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the competent courts in Ireland (to the extent permitted by applicable law).
- We reserve the right to seek temporary injunctions or other emergency relief to protect intellectual property rights, trade secrets, security, and compliance interests.
18. Miscellaneous
- Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force; the parties shall replace the invalid provision with a lawful provision that most closely achieves the original intent.
- Waiver: Our failure to exercise or delay in exercising any right does not constitute a waiver.
- Assignment: We may assign rights and obligations under these Terms to an Affiliate, successor entity, or business acquirer; you may not assign without our prior written consent.
- Entire Agreement: These Terms and Related Documents constitute the entire agreement between the parties regarding the Services and supersede any prior oral or written communications on the same subject matter (without affecting any separately executed written agreements between the parties).
