For the purposes of these Terms:

1.1 Affiliate: An individual or entity that has registered with and been approved by FastIMM to participate in the affiliate program.

1.2 Sub-Affiliate: An affiliate recruited by an existing Affiliate via a referral link or invitation mechanism who has successfully registered as an Affiliate on FastIMM.

1.3 Tier 1 Commission: Commission calculated at 5% of the Net Sales Amount generated by customers you directly refer.

1.4 Tier 2 Commission: Commission calculated at 2% of the Net Sales Amount generated by customers referred by the Sub-Affiliates you directly recruit.

1.5 Qualified Order: An order for which payment has been completed and which has not been refunded, charged back, reversed, or determined to be fraudulent or in violation of platform rules, and which satisfies the platform’s risk control and compliance requirements.

1.6 Net Sales Amount: The net amount based on actual payments confirmed by the platform, after deducting (as applicable) refunds, chargebacks, reversals, taxes, processing fees, shipping charges, coupons/discounts, and any other amounts reasonably determined by the platform to be deductible.

1.7 Lock Period / Holding Period(Commission Lock Period): Commissions generated on an order are held for 37 days to allow for refunds, risk review, and reconciliation.

2. Acceptance & Eligibility

2.1 By registering for, accessing, or using any Affiliate-related features, you confirm that you have read, understood, and agreed to these Terms.

2.2 You must be at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into and perform these Terms.

2.3 You must provide truthful, accurate, and complete information, and keep it up to date at all times.

2.4 We reserve the right to approve or reject any application based on compliance requirements, risk considerations, or business judgment.

3. Marketing Compliance

3.1 You may promote FastIMM through content marketing, social media, communities, email, paid advertising, and other channels, provided you comply with:

– All applicable laws, regulations, regulatory requirements, and platform rules (including anti-fraud, consumer protection, advertising compliance, and anti-spam requirements).

– These Terms and any policies or guidelines published by FastIMM from time to time.

3.2 Disclosure Obligation: When recommending FastIMM products or services in your content, you must clearly disclose that you may receive a commission (e.g., “This is an affiliate link and I may earn a commission”).

3.3 No Misrepresentation: You must not exaggerate earnings, fabricate credentials, promise outcomes that cannot be guaranteed, or make any false or misleading statements to prospective customers.

4. Prohibited Activities

If any of the following activities are identified, we reserve the right to withhold or reverse commissions, freeze your account, terminate the partnership, and pursue further remedies:

4.1 Self-Referral Prohibited:

– You may not use your own referral link to place orders for yourself in order to earn commissions.

– You may not circumvent this restriction through orders placed by family members, colleagues, entities under common control, shared payment instruments, or the same IP address, device, or account.

– The platform will make such determinations based on its risk control rules.

4.2 Fraudulent registrations, order manipulation, transaction inflation, bot traffic, click fraud, cookie stuffing, or any other form of cheating.

4.3 Spam or mass SMS campaigns, aggressive or harassing marketing practices, or purchasing illegitimate traffic.

4.4 Impersonating FastIMM, registering look-alike domains or social media accounts, or misappropriating brand materials to mislead users.

4.5 Bidding on or running paid ads using FastIMM brand keywords without prior written permission (if you wish to request such permission, a separate whitelist arrangement must be agreed in writing).

4.6 Inducing users to initiate refunds or chargebacks for arbitrage purposes, or directing users to circumvent platform payment channels.

4.7 Any conduct that damages FastIMM’s reputation, harms users’ interests, or violates applicable law.

5. Attribution

5.1 Commission attribution is determined by the platform’s tracking system. The default attribution model is Last Click (unless otherwise stated in your affiliate dashboard).

5.2 Attribution Window (Cookie Window): The default attribution window is 60 days. If the window is affected by browser restrictions, privacy policies, or technical changes, the platform’s records and dashboard data shall prevail.

5.3 In the event of tracking failure (e.g., users disabling cookies, using private browsing, ad blockers, or placing orders across multiple devices), the platform does not guarantee that all referrals will be accurately recorded.

6. Commission Structure

6.1 Tier 1 (5% Commission)

– Qualified Orders generated by customers you directly refer earn a commission of 5% of the Net Sales Amount of each order.

6.2 Tier 2 (2% Commission)

– Qualified Orders generated by customers referred by Sub-Affiliates you directly recruit earn you a Tier 2 commission of 2% of the Net Sales Amount.

– Tier 2 applies only to Sub-Affiliates you directly recruit and does not extend to further levels unless the platform explicitly announces otherwise.

6.3 Commission Aggregation

– Commissions are calculated per Qualified Order and aggregated; your Tier 1 and Tier 2 commissions are combined within the same settlement period.

– If an order is refunded, charged back, reversed, or determined to be fraudulent, the associated commission will be reversed or deducted from future commissions.

7. Commission Lock Period (37 Days)

7.1 Commissions generated on each order enter a 37-day lock period (frozen status).

7.2 During the lock period, if an order is refunded, charged back, disputed, or determined to be fraudulent or in violation of these Terms, the associated commission will be reversed.

7.3 Once the lock period expires without incident, commissions are transferred to your “Available Balance” for settlement.

8. Settlement Cycle, Payment Dates & Minimum Payout (Quarterly Payouts)

8.1 Settlement Cycle: Quarterly.

8.2 Payment Date: Settlements are processed on the 15th day of the month following the end of each calendar quarter:

– Q1 (January–March) → 15 April

– Q2 (April–June) → 15 July

– Q3 (July–September) → 15 October

– Q4 (October–December) → 15 January of the following year

– If the payment date falls on a weekend or public holiday, it will be deferred to the next business day.

8.3 Minimum Payout Threshold: A minimum balance of US$1,000 is required per settlement.

– If the available balance is below US$1,000, it will automatically roll over and accumulate into the next settlement period.

8.4 The platform reserves the right to extend the review period or suspend settlements for accounts flagged for risk control, compliance review, or reconciliation purposes.

9. Settlement Currency & Payment Methods

9.1 Settlement Currency: United States Dollar (USD).

9.2 Payment Methods:

– PayPal; or

– Cryptocurrency: Bitcoin or USDT (network type and address format must comply with platform requirements).

9.3 Cryptocurrency Exchange Rate & Fees:

9.3.1 Where payment is made in cryptocurrency, the platform will convert the USD equivalent at a reasonable market exchange rate on the date of payment.

9.3.2 Blockchain network fees, and any losses arising from incorrect wallet addresses or selecting the wrong network, are the sole responsibility of the Affiliate.

9.4 Affiliates must ensure that their payment details are truthful, accurate, and valid. FastIMM accepts no liability for failed or undeliverable payments resulting from incorrect payment information provided by the Affiliate.

10. Tax & Compliance Obligations

10.1 Affiliates are solely responsible for reporting and paying any taxes applicable to their commission income.

10.2 Where required by law, Affiliates must cooperate in providing the information necessary for the platform to withhold taxes or report income to relevant authorities.

11. Account & Notices

11.1 Please ensure your email address remains valid. FastIMM will communicate affiliate program-related information via email, including but not limited to rule updates, settlement notifications, risk control verifications, and account alerts.

11.2 FastIMM accepts no responsibility for any failure to receive notifications caused by issues with the Affiliate’s email address, including incorrect entries, deactivation, full inboxes, spam filtering, or failure to maintain the account.

11.3 Affiliates are responsible for safeguarding their account credentials. The platform accepts no liability for account compromise or information leaks resulting from the Affiliate’s own actions or negligence.

12. Brand & Intellectual Property

12.1 The platform grants each Affiliate a non-exclusive, non-transferable, revocable license to use the official promotional materials provided by FastIMM during the term of the partnership.

12.2 Without prior written permission, Affiliates may not:

– Represent themselves publicly as an official representative, agent, or employee of FastIMM (unless formally authorised in writing).

13. Data & Privacy

13.1 Affiliates must not independently collect, sell, or share users’ personal information without authorisation.

13.2 Where an Affiliate collects information through their own forms or landing pages, they must provide a privacy notice and obtain any necessary consents in accordance with applicable law, and must not use the data for purposes unrelated to this affiliate program.

14. Enforcement & Termination

14.1 If we reasonably determine that an Affiliate has engaged in misconduct, fraud, abnormal traffic generation, or poses a risk to the platform or its users, we may take action including but not limited to:

– Cancelling or reversing commissions.

– Extending the lock period or freezing settlements.

– Restricting features, suspending, or terminating the account.

– Pursuing damages and legal liability.

14.2 Affiliates may cease participation in the program at any time, without prejudice to the platform’s right to take action in respect of any prior misconduct.

14.3 Upon termination, if there is no misconduct and commissions satisfy the conditions set out in these Terms, the platform will process them in accordance with the settlement rules. Where misconduct or disputes exist, the platform may withhold the relevant commissions.

15. Disclaimers & Limitation of Liability

15.1 The platform makes no guarantee that any Affiliate will achieve any particular level of income, conversions, or earnings.

15.2 To the maximum extent permitted by law, the platform shall not be liable for indirect losses, loss of anticipated profits, or loss of data.

15.3 The platform’s total aggregate liability to an Affiliate (to the extent any liability arises) shall be limited to the commissions actually paid by the platform to the Affiliate during the relevant settlement period, or the minimum amount permitted by law, whichever is lower.

16. Changes to These Terms

The platform may update these Terms as required for business, compliance, or risk management purposes, and will notify Affiliates via in-site pages or email. Continued participation in the program following an update constitutes acceptance of the revised Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Ireland. Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If negotiation fails, both parties agree to submit to the exclusive jurisdiction of the Irish courts, with the High Court of Ireland, Dublin, as the court of first instance.
